Welcome to Playwise HQ (“Playwise HQ”, “we”, “our”, or “us”).
These Terms of Service (“Terms”) govern your access to and use of the Playwise HQ software-as-a-service platform, related websites, applications, and services (collectively, the “Service”).
By creating an account, accessing, or using Playwise HQ, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. About Playwise HQ
Playwise HQ is a cloud-based competitive intelligence platform that enables teams to create, manage, share, and operationalize competitor battlecards, objection handling strategies, win/loss themes, and related sales enablement content.
Playwise HQ is offered globally through both free and paid subscription plans.
2. Eligibility and Account Registration
2.1 Eligibility
To use the Service, you must:
Be at least 18 years old (or the legal age in your jurisdiction)
Have authority to enter into these Terms on behalf of yourself or an organization
Provide accurate and complete registration information
Use the Service only for lawful business purposes
2.2 Organizational Accounts
If you are using Playwise HQ on behalf of a company or other entity (“Customer”), then:
That entity is responsible for all activity under its account
You represent that you have authority to bind the Customer to these Terms
2.3 Account Security
You are responsible for maintaining the confidentiality of your login credentials.
You must notify us immediately if you suspect unauthorized access or misuse.
Playwise HQ is not liable for losses arising from your failure to secure account access.
3. Acceptable Use and Customer Responsibilities
3.1 Permitted Use
You may use the Service only in accordance with these Terms and applicable laws.
3.2 Prohibited Activities
You must not:
Use the Service for illegal, fraudulent, or harmful purposes
Upload or distribute malware, viruses, or malicious code
Attempt to reverse engineer, copy, resell, or exploit the Service
Interfere with or disrupt the integrity or security of the platform
Use the Service to violate third-party rights, confidentiality obligations, or contractual restrictions
3.3 Competitive Intelligence Disclaimer
You acknowledge that competitive intelligence must be gathered and used responsibly. You are solely responsible for ensuring that any information uploaded to Playwise HQ is obtained and used lawfully.
4. Customer Content and Data
4.1 Customer Content
“Customer Content” means any data, text, notes, documents, competitor information, battlecards, sources, or other materials submitted to or created within the Service.
You retain ownership of your Customer Content.
4.2 License to Provide and Improve the Service
By using Playwise HQ, you grant Playwise HQ a limited, non-exclusive, worldwide license to host, store, process, reproduce, and display Customer Content solely as necessary to:
provide and operate the Service,
maintain and secure the platform, and
improve Service functionality and performance.
Any service improvement use will be limited to internal purposes and may include aggregated or anonymized analytics that do not identify Customer or disclose Customer Content.
4.3 Responsibility for Content
You represent and warrant that:
You have all rights necessary to upload and use Customer Content
Your Customer Content does not violate applicable law or third-party rights
4.4 No Disclosure of Customer Content
Playwise HQ will not disclose Customer Content to other customers. Customer Content is processed only to provide the Service to Customer and its Authorized Users.
5. AI-Powered Features
Playwise HQ may offer features powered by machine learning or artificial intelligence, including automated content generation, summarization, recommendations, and competitive insights.
You acknowledge that:
Outputs may not be complete, accurate, or up to date
AI-generated content is provided for informational purposes only
You are responsible for reviewing and validating outputs before relying on them
Playwise HQ makes no warranties regarding AI-generated results.
Playwise HQ may use Customer Data to support and improve AI-powered functionality within the Service, including quality, relevance, and performance, provided that such processing remains consistent with the Agreement and applicable data protection laws.
6. Confidentiality
6.1 Confidential Information
Each party may receive confidential or proprietary information from the other party, including Customer Content, platform functionality, pricing, product plans, or business operations (“Confidential Information”).
6.2 Obligations
Each party agrees to:
Protect Confidential Information using reasonable safeguards
Use Confidential Information only to perform obligations under these Terms
Not disclose Confidential Information except as required to provide the Service or as required by law
7. Subscription Plans, Billing, and Enterprise Contracts
7.1 Plans
Playwise HQ offers free plans and paid subscription plans. Plan details, limits, and pricing are available on our website or in an Order Form.
7.2 Billing and Auto-Renewal
Paid subscriptions are billed in advance on a recurring basis (monthly or annually) unless canceled.
By subscribing, you authorize Playwise HQ (and our payment processor, Stripe) to charge your payment method.
7.3 Enterprise Annual Agreements
Enterprise customers may purchase subscriptions under a separate written Order Form or annual agreement. If there is a conflict, the Order Form governs commercial terms.
7.4 Payment Failures
If payment cannot be processed, we may suspend or terminate access until payment is resolved.
7.5 Taxes
Fees are exclusive of applicable taxes, duties, or levies, unless stated otherwise.
8. Cancellation and Refund Policy
You may cancel your subscription at any time through your account settings or by contacting Playwise HQ.
Unless otherwise required by law, fees are non-refundable except as expressly set out in our Refund & Billing Policy.
Refund eligibility, if any, is governed by the Playwise HQ Refund & Billing Policy available on our website.
Access to paid features will remain active until the end of the current billing cycle unless otherwise agreed in an Order Form.
Enterprise subscriptions purchased under a separate Order Form may have different cancellation or billing terms as agreed in writing.
9. Service Availability, SLA, and Support
9.1 Availability
We aim to provide reliable access to the Service, but do not guarantee uninterrupted availability.
Downtime may occur due to maintenance, updates, or unforeseen technical issues.
9.2 Availability Target
Playwise HQ may publish an availability target (for example, 99.5% monthly uptime) or offer a separate Service Level Agreement (“SLA”) for Enterprise customers.
Any SLA commitments will apply only if expressly agreed in writing.
9.3 Changes to the Service
We may modify, update, or discontinue parts of the Service at any time. Where reasonably possible, we will provide notice of material changes.
10. Third-Party Services and Integrations
The Service may integrate with third-party tools and platforms, such as CRMs, collaboration software, or external data sources (“Third-Party Services”).
Playwise HQ does not control and is not responsible for:
The availability or security of Third-Party Services
Data handled directly by those services
Interruptions or errors caused by third-party providers
Your use of Third-Party Services is governed by their own terms and policies.
11. Data Retention and Deletion
11.1 Access After Termination
Upon termination or expiration of your subscription, your access to the Service will end.
11.2 Data Export
Where reasonably available, you may request an export of Customer Content prior to termination.
Enterprise customers may have additional export rights defined in an Order Form.
11.3 Retention and Deletion
Following termination, Playwise HQ may retain Customer Content for a limited period to:
comply with legal obligations
resolve disputes
support account reactivation requests
After this period, Customer Content may be deleted in accordance with our data retention practices, unless otherwise agreed in writing.
12. Intellectual Property
Playwise HQ and all associated software, trademarks, designs, and platform content are owned exclusively by Playwise HQ Pty Ltd.
These Terms grant you a limited, non-transferable, non-exclusive right to access and use the Service during your subscription.
No rights are granted except as expressly stated.
13. Export Controls and Global Compliance
You agree that you will not use the Service in violation of applicable export control laws, sanctions regulations, or trade restrictions.
The Service may not be used by individuals or entities located in jurisdictions subject to comprehensive sanctions or embargoes, where prohibited by law.
14. Termination
14.1 By You
You may stop using the Service or delete your account at any time.
14.2 By Us
We may suspend or terminate access if:
You violate these Terms
Your use poses a security or legal risk
We are required to do so by law
15. Disclaimers
To the fullest extent permitted by law:
The Service is provided “as is” and “as available”
We disclaim all warranties, express or implied
We do not guarantee the Service will be error-free, secure, or uninterrupted
16. Limitation of Liability
To the maximum extent permitted by law:
Playwise HQ is not liable for indirect, incidental, or consequential damages
Our total liability will not exceed the amount paid by you in the twelve (12) months prior to the event giving rise to the claim
17. Indemnification
You agree to indemnify and hold harmless Playwise HQ from claims arising from:
Your misuse of the Service
Customer Content that violates third-party rights
Violations of these Terms or applicable laws
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of New South Wales, Australia.
The parties agree to attempt good-faith negotiation before commencing proceedings.
Any disputes will be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.
19. Changes to These Terms
We may update these Terms from time to time. Continued use of the Service constitutes acceptance of revised Terms.
